ONLINE PROGRAM TERMS AND CONDITIONS

These Terms apply to all programs delivered via the ZENTO ACADEMY platform (Program/s).

WHO THESE TERMS APPLY TO

ZENTO ACADEMY (we, us or our) owns and operates this platform and the online program material content and resources (Content).

ZENTO ACADEMY is a registered business name of Zento Global Solutions Pty Ltd, ABN 34 610 060 690.

As the program purchaser and/or student, you are referred to as you or your throughout these terms and conditions (Terms).

PART ONE – THE PROGRAM

1. Welcome

1.1 We own and operate the program (Program) and provide it through several different methods, including our website www.zentoacademy.com, email, private online groups, and other communication platforms. All systems, websites, and communication channels used to deliver or support the Program are collectively referred to as the Platform in these Terms, and may include services such as Kajabi, Facebook, Teams, Zoom, or similar platforms.

1.2 These Terms come into effect when you register for the Program. By enrolling, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Our contract with you

2.1 When you enrol in the Program, you will receive an email confirming receipt of your enrolment and your acceptance into the Program. At that point, a binding agreement is formed between you and us under these Terms.

2.2 Upon enrolment, we grant you a limited, revocable, non-exclusive, and non-transferable licence to access and participate in the Program for your personal, non-commercial use only.

2.3 Under this licence, you agree not to copy, reproduce, modify, share, distribute, sell, deliver, teach, lease, transfer, or publicly display any of the Program content (“Content”) in any form without our prior written consent. This includes delivering the Content, in whole or in part, to others - whether informally, as part of internal training, or through any other format - regardless of whether you receive payment for doing so.

Your login is for individual use only. Sharing your access credentials with others is a breach of these Terms and may result in immediate removal from the Program.

2.4 If you breach these Terms, including by misusing, sharing, or redistributing our Content without permission, we reserve the right to suspend or terminate your access to the Program immediately and without refund.

3. Pricing of the Program
The price of each Program is displayed on our Platform at the time of purchase. While we make every effort to ensure that all information including, but not limited to, pricing, descriptions, and inclusions, is accurate, errors may occasionally occur. If we become aware of an error, we reserve the right to correct it and will do so as soon as reasonably practicable.

4. Payment

4.1 Payment must be made using one of the available methods provided on our Platform and may be paid either upfront or via an approved payment plan, depending on the Program and the options we offer at the time of purchase.

4.2 Payments may be processed by a third-party payment provider and may be subject to additional fees, terms, or conditions imposed by that provider. We recommend reviewing the applicable terms of any third-party processor before completing your transaction.

4.3 Unless stated otherwise, all transactions are processed in United States Dollars (USD). Where applicable, Australian Goods and Services Tax (GST) or other relevant taxes may be added at checkout, depending on your location and the nature of the Program.

5. The Program
The inclusions for each Program are outlined in the Schedule to these Terms. We reserve the right to update, improve, or modify elements of any Program at our discretion, particularly where we believe the changes will enhance participant outcomes or experience.

If a change affects participants currently enrolled in a live or time-bound Program, we will provide reasonable notice where practicable. No such notice is required once you have completed or graduated from the Program.

6. Your Obligations
By enrolling in the Program, you agree to:

a) Ensure you have a stable internet connection and access to any required technology to fully participate in the Program;
b) Minimise distractions and participate in the Program in a focused and respectful manner;
c) Engage with the Program content, exercises, and sessions as directed and outlined in the Program materials; and
d) Not record, copy, or redistribute any part of the Program — including group or 1:1 sessions — without our prior written permission.

7. Coaching Sessions (1:1 and Group Sessions)
Any one-on-one or group coaching sessions provided as part of the Program (“Coaching”) are offered under the following conditions:

a) Coaching is not a substitute for medical, psychological, legal, financial, or other professional advice. If such support is required, we encourage you to seek a suitably qualified professional.
b) Both you and your Coach are expected to maintain confidentiality regarding any personal information shared during a session, including within group settings.
c) Group coaching sessions are scheduled in advance and held at set times. These sessions cannot be rescheduled if missed.
d) For one-on-one sessions, you agree to provide reasonable notice if you need to cancel or reschedule. If you cancel with insufficient notice or are unable to reschedule within the timeframe of the Program, you may forfeit that session.

8. Refund Policy
Due to the nature of digital programs and coaching services, we do not offer refunds if you change your mind after enrolling.

Any refund or credit is at our absolute discretion. If you are unable to participate in your enrolled intake, we may, at our option, offer to defer your enrolment to a future intake of the Program. This deferral is our default approach where a participant cannot attend the originally scheduled dates.

By enrolling, you acknowledge and accept this policy.

9. Platform
When we refer to the Platform, we mean any system or service we use to deliver the Program — including our website, Kajabi, and third-party platforms such as Facebook, Zoom, or similar technologies we may use now or in the future.

By accessing or using our Platform, you confirm that:

a) You have read and understood these Terms and our Privacy Policy, and acknowledge that both documents together form the agreement between you and us;
b) You understand and agree that your use of any third-party platform is also subject to the terms and conditions of that platform;
c) You have the legal capacity to enter into this agreement, or if you are under 18 years of age, you have your parent’s or guardian’s permission and they have agreed to these Terms on your behalf; and
d) You will use the Platform in accordance with these Terms and applicable laws.

PART 2 – PLATFORM, IP, LIMITATION OF LIABILITY & OTHER GENERAL CLAUSES 

10. Limitation of Liability

10.1 We are not liable for any failure in the delivery, effectiveness, or outcome of the Program or associated Coaching that results from your own actions, omissions, or failure to follow the Program guidance.

10.2 We make no guarantees that you will experience any specific outcome, transformation, or improvement in your life, leadership, or business as a result of participating in the Program.

10.3 To the extent permitted by law, our liability for any failure to comply with guarantees under the Australian Consumer Law is limited to, at our discretion, the repair, replacement, or re-supply of the relevant goods or services.

10.4 Nothing in these Terms seeks to exclude or restrict any rights or remedies you may have under the Australian Consumer Law that cannot be excluded by law. Subject to that, our total liability to you — whether in contract, tort, statute, or otherwise — is limited to the total amount paid by you for the Program.

11. Warranty Disclaimer
To the extent permitted by law, all warranties, representations, and conditions that are not expressly set out in these Terms are excluded.

Additionally, the application of the United Nations Convention on Contracts for the International Sale of Goods (known as the Vienna Convention) is excluded and does not apply to this agreement.

12. Intellectual Property Rights

12.1 Unless otherwise stated, we own or license all intellectual property rights, title, and interest in the Program, Platform, and all related content (“Content”). Your participation in the Program and access to the Platform does not grant you any ownership or rights to our intellectual property.

You agree that you will not, without our prior written permission:

a) Copy, use, or reproduce any part of the Content;
b) Share, distribute, sell, publish, broadcast, or make the Content available to any third party;
c) Breach our intellectual property rights in any way, including but not limited to:

- Modifying or adapting any part of the Content;
- Embedding or framing our Content on another website or platform;
- Creating derivative works based on the Content.

13. User Content

13.1 You may have the opportunity to post, upload, or submit content to our Platform, such as comments, reflections, reviews, or other contributions (“User Content”).

By sharing User Content with us, you grant us a worldwide, royalty-free, non-exclusive, perpetual, and transferable licence to use, display, reproduce, adapt, modify, and distribute that content in connection with the Program and our business — including for promotional, educational, or marketing purposes.

We may also, at our discretion, use or share User Content in anonymised or de-identified form (e.g. for sharing testimonials, participant insights, or case studies) without further notice to you.

13.2 You are solely responsible for the User Content you make available. You represent and warrant that:

a) You are the sole owner of the User Content or have full rights and permissions to share it and grant us the licence outlined above; and
b) Your User Content does not infringe on any third party’s intellectual property, privacy, or publicity rights, and does not breach any applicable laws or regulations.

13.3 We do not endorse or guarantee the accuracy of any User Content shared by other participants. We reserve the right to remove or moderate User Content at any time and for any reason, at our sole discretion.

14. Exclusion of Competitors
By enrolling in the Program, you agree that you will not use any part of our Platform, Content, or Program - whether directly or indirectly — to create, market, or deliver a competing product, service, or offering.

You must not reproduce, adapt, or repurpose our materials in any way that competes with our business or infringes on our intellectual property.

If you breach this clause, we reserve the right to seek compensation for any loss, damage, or expense incurred and to recover any profits gained from unauthorised or non-permitted use.

15. Discontinuance
We reserve the right to modify, suspend, or discontinue access to all or part of the Platform or Program at any time, with or without notice.

We may also, at our sole discretion, restrict or revoke access to any individual who breaches these Terms or engages in behaviour we deem inappropriate, harmful, or disruptive.

We are not liable for any loss, damage, or inconvenience you may suffer as a result of such discontinuance or exclusion.

16. Waiver
Any waiver of a provision in these Terms is only effective if provided in writing and signed by us.

If you breach any of these Terms and we do not immediately enforce our rights, this does not mean we have waived those rights. We may choose to enforce them at any time in the future for that or any other breach.

17. No Guarantees

17.1 While we make every effort to deliver a high-quality Program, we do not guarantee that you will achieve any specific result, outcome, or transformation. Your success depends on many factors, including your personal commitment, how you apply the material, and external circumstances beyond our control.

We cannot guarantee your success in the Program, including the outcomes listed under the “No Guarantees” section in the Schedule to these Terms.

17.2 By enrolling in the Program, you accept this and agree to release us from any liability or claim related to your level of success or any unmet expectations.

18. Disclaimer

18.1 You acknowledge and agree that:

a) The information and content provided in the Program are based on our professional experience and expertise;
b) We do not guarantee any specific outcomes from participating in the Program, or from any other program, course, coaching, or service we offer.

18.2 You confirm that you have not relied on any testimonials, case studies, or success stories published by us as a guarantee of your own results or as the sole basis for your decision to enrol in the Program. 

19. Entire Agreement
These Terms represent the entire agreement between you and us in relation to your participation in the Program and supersede all prior discussions, communications, or agreements (whether written or verbal) relating to the Program.

20. Variation
We may update or modify these Terms from time to time by posting the revised version on our Platform. By continuing to access or participate in the Program after any changes are made, you agree to be bound by the updated Terms.

If you do not agree to the revised Terms, you must notify us immediately and discontinue your participation in the Program.

21. Severance
If any provision of these Terms is found to be void, invalid, illegal, or unenforceable, that provision will be severed from the Terms. The remainder of the Terms will remain in full force and effect, unaffected by the removal of the unenforceable part. 

22. Force Majeure
We are not liable for any delay or failure to perform our obligations under these Terms if such delay or failure arises from any cause beyond our reasonable control. This includes (but is not limited to) natural disasters, acts of government, strikes, internet or platform outages, illness, or technical failures. Where possible, we will make reasonable efforts to resume delivery of the Program once the disruption is resolved.

23. Testimonials & Publicity Rights
You agree that we may use anonymised feedback, insights, or results you share during the Program for educational or marketing purposes.

If you provide a testimonial, participate in a video, or share your experience with us in writing or on camera, you grant us permission to use your name, likeness, and testimonial in our promotional materials (online and offline). You may withdraw this permission in writing at any time by contacting us.

24. Non-Disparagement
You agree not to make any public statements or comments that may defame, disparage, or otherwise harm our reputation, brand, or services. This includes comments on social media, in forums, or in other public spaces, whether during or after your participation in the Program.

We reserve the right to remove you from the Program or restrict access if this clause is breached.

25. Termination for Cause
We reserve the right to remove you from the Program and revoke access to the Platform without notice if you breach these Terms, violate our community standards, or behave in a way that disrupts or harms the experience of others.

In the case of termination for cause, no refund will be issued.

26. Community Conduct
We are committed to creating a respectful, inclusive, and safe environment for all participants, regardless of race, gender identity, sexual orientation, age, ability, cultural background, or religion. Discrimination, harassment, or exclusionary behaviour will not be tolerated in any part of the Program or community spaces.

By joining any community spaces (including but not limited to Facebook groups, online forums, live calls, and group chats), you agree to:

• Engage respectfully with all other participants and facilitators.
• Avoid language or behaviour that is discriminatory, harassing, aggressive, or otherwise inappropriate.
• Not promote or sell your own services or products unless explicitly invited to do so by us.
• Follow any community guidelines or rules that may be posted from time to time.

We reserve the right to suspend or remove you from any community space or the Program entirely at our discretion if these standards are not upheld.

27. Affiliate Disclosure
From time to time, we may recommend third-party tools, platforms, or programs. Some of these recommendations may include affiliate links, which means we may receive a commission if you choose to purchase through our link.

We only promote tools or services we genuinely believe in, but you are responsible for conducting your own due diligence.

28. Technology Disclaimer

While we strive to provide seamless access to the Platform and Program content, we are not responsible for interruptions, outages, or limitations caused by third-party systems (e.g. Kajabi, Facebook, Zoom, or internet connectivity).

We will make reasonable efforts to ensure availability and will notify you of any planned or known disruptions when possible.

29. Governing law
The Governing Law set out in the Schedule to these Terms governs them. You agree to submit to and be bound by the exclusive jurisdiction of the courts and tribunals in that jurisdiction.
